El sistema español de insolvencias ha sufrido una profunda modificación como consecuencia de la entrada en vigor de la Ley 16/2022, que incorpora a nuestro ordenamiento jurídico la Directiva (UE) 2019/1023 sobre marcos de reestructuración preventiva (Directiva de Reestructuraciones). El objetivo del presente trabajo es el estudio y valoración de los nuevos instrumentos preconcursales introducidos por la Reforma, dirigidos a la consecución de acuerdos entre empresas viables y sus acreedores en una fase temprana de las dificultades financieras. Centraremos nuestra atención en el análisis de la que, sin duda, es la principal incorporación de la Reforma: los planes de reestructuración, concebidos como un instrumento para evitar la insolvencia y, con ella, la temida fase judicial.
The Spanish insolvency system has undergone a profound modification as a result of the entry into force of Law 16/2022, which incorporates Directive (EU) 2019/1023 on preventive restructuring frameworks (Directive on restructuring and insolvency) into our legal system. The objective of this work is the study and assessment of the new pre-bankruptcy instruments introduced by the Reform, aimed at achieving agreements between viable companies and their creditors in an early phase of financial difficulties. We will focus our attention on the analysis of what, without a doubt, is the main incorporation of the Reform: the restructuring plans, conceived as an instrument to avoid insolvency and, with it, the feared judicial phase.
